Site terms of use, and the engagement posture.

These terms govern your use of spinupforge.com. They are not the terms of any individual engagement; specific engagements are governed by a signed letter of engagement. The structural posture below, fee-only, no equity, is a non-negotiable feature of every engagement letter we sign.

Site content is for general information

The content on this website is for general information about SpinUp Forge and the work we do. It is not professional advice. Nothing on this site is intended to create an adviser-client relationship, a fiduciary duty, or any other formal engagement. If you would like to engage SpinUp Forge, the entry point is a direct email to hello@spinupforge.com and the resulting letter of engagement, not your reading of this site.

Thought-piece content and external links

The essays in the "Current thinking" section reflect the personal views of Faraz Rizvi as the author. They are not investment advice, regulatory advice, legal advice, or formal recommendations. Where the essays link to external sources, those sources are provided for reference; we do not control them and are not responsible for their content or availability.

Intellectual property

The text, design, code, and visual identity of this website, including the SpinUp Forge name, the compression mark, the wordmark, and the layout system, are owned by SpinUp Forge Ltd or used by us under licence. You may quote short passages of the thought pieces with attribution and a link back. You may not reproduce the brand identity, redistribute substantial portions of the site, or present any part of the site as your own work.

The brand mark (the compression mark with the ember at the off-centre pinch) and the wordmark are reserved for SpinUp Forge's own use. Please do not adapt or reuse them.

Engagement posture

Every SpinUp Forge engagement is governed by a signed letter of engagement. The structural posture below is reproduced in every such letter without modification:

Fee-only. We are paid in fees, not equity, options, warrants, or any other instrument that gives SpinUp Forge a residual interest in the spinout.
No equity, no warrants, no options.
No success fee, no contingent fee, no percentage of any raise.
No referral fee, paid or received, for introductions between spinouts, TTOs, funders, investors, or other parties.
Foreground intellectual property created in the course of an engagement vests in the spinout (or other client) on creation. SpinUp Forge does not retain ownership of work product, IP-trackable artefacts, or know-how generated specifically for the client.

This posture exists so that the introduction of SpinUp Forge into a spinout's pathway does not raise a comparator-duty question for a TTO, an alignment question for an investor, or a cap-table consequence for the founding team. It is non-negotiable.

Confidentiality

Every engagement letter includes mutual confidentiality. Information you share with SpinUp Forge in the course of an engagement is treated as confidential and used only to deliver the work, except where disclosure is required by law or where you give us written permission to reference the work publicly.

Liability

Nothing in these terms or any engagement letter limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited under English law. Subject to that, our total liability under any engagement is limited to the fees paid under that engagement, as set out in the engagement letter.

Use of the site

You may read the site, share links to it, and quote short passages from the thought pieces with attribution. You must not use the site or its contents in any way that is unlawful, that infringes anyone else's rights, or that interferes with the operation of the site for other readers.

Privacy

Our handling of personal data is described in the privacy notice. In short: we do not set cookies, we do not run third-party tracking, and we collect personal data only when you provide it to us directly.

Changes to these terms

We may update these terms from time to time. The current version is always at this URL; the date at the top of the page reflects when it was last updated. Material changes will be flagged at the top of the page for at least thirty days.

Governing law

These terms are governed by the laws of England and Wales. Any dispute arising from these terms or your use of this site will be subject to the exclusive jurisdiction of the courts of England and Wales.
